TERMS OF SERVICE AND LEGAL DISCLAIMER

Welcome to the PsyCode Studio website and the Experience Restructuring Analysis (ERA) service. Prior to booking or participating in any ERA consultation, please read the following terms carefully. By accessing our website, booking a session, or utilizing our services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions.

1. Nature of Service & Non-Medical Disclaimer

1.1 Core Definition: ERA is an advanced academic and strategic consulting service grounded in the intersection of Political Science, Discourse Analysis, and Lacanian Psychoanalysis. The service is designed exclusively to assist highly analytical individuals in deconstructing the underlying logic of behavioral stagnation and providing structural action blueprints for experience restructuring.

1.2 Non-Clinical Nature: The Analysts at PsyCode Studio are not registered medical practitioners, clinical psychologists, or psychiatrists in Hong Kong. ERA does not constitute, and shall not be construed as, medical diagnosis, clinical psychotherapy, psychiatric treatment, or any form of medical advice.

1.3 Not a Substitute for Professional Treatment: ERA is not intended to replace or substitute professional healthcare. If you are currently receiving psychiatric or clinical psychological treatment, or suspect you may be suffering from any clinical mental health condition as defined in the DSM-5, you must seek the assistance of a qualified medical professional prior to engagement.

1.4 No Fiduciary Relationship: Your engagement with PsyCode Studio creates an independent contractor relationship. No agency, partnership, joint venture, or fiduciary relationship is created or implied by these Terms or the provision of ERA services.

2. Booking, Payment, and Cancellation Policy 2.1 Payment Terms: All consultation fees must be paid in full prior to the commencement of the scheduled ERA session to confirm your booking. All fees paid are strictly non-refundable, except as expressly stated otherwise in these Terms.

2.2 Rescheduling and No-Shows: Clients may request to reschedule a session by providing written notice at least [48] hours prior to the scheduled time. Failure to attend a scheduled session (No-Show) or cancellations made within [48] hours will result in the forfeiture of the full consultation fee, and no refunds or complimentary rescheduling will be provided.

3. Client Responsibility & No Guarantee of Results

3.1 Execution of the Analytical Blueprint: The ERA Analyst functions as an "Underlying Logic Decoder," providing precise strategic coordinates. However, you acknowledge and agree that the ultimate responsibility for executing this restructuring process and implementing changes in your reality rests entirely with you.

3.2 No Guarantee of Results: Due to the inherent complexity of human psychological and social mechanisms, PsyCode Studio expressly disclaims any guarantee, representation, or warranty that the ERA service will yield specific personal, professional, financial, or relational outcomes. All decisions made and consequences arising from the application of the ERA blueprint are solely the responsibility of the client.

4. Crisis Management & Right of Termination

4.1 Scope Limitations: The ERA framework is strictly analytical and is not designed or equipped to handle acute psychological crises, suicidal ideation, or severe self-harming behaviors.

4.2 Termination and Referral: If the Analyst assesses, at their sole and absolute discretion, that a client's condition falls outside the scope of ERA, or that the client requires urgent clinical intervention, PsyCode Studio reserves the right to immediately terminate the service. In such events, PsyCode Studio incurs no legal liability and is under no obligation to refund fees for time or resources already expended.

5. Confidentiality & Data Handling

5.1 Strict Confidentiality: All verbatim transcripts, personal narratives, and analytical content shared during the consultation will be kept strictly confidential and utilized exclusively for the purpose of ERA systemic decoding and strategic design, in accordance with the Personal Data (Privacy) Ordinance (Cap. 486).

5.2 Statutory Exceptions: We shall not disclose your confidential information to any third party without your explicit authorization, subject to the following legally mandated exceptions: (a) as required by the laws of Hong Kong or a valid court order; or (b) if we maintain a reasonable, good-faith belief that you pose an imminent threat to the physical safety of yourself or others.

6. Intellectual Property

6.1 Proprietary Methodology: The ERA analytical framework, operational models, visual diagrams, testing tools, and customized "Bespoke Action Plans" are the exclusive intellectual property of PsyCode Studio.

6.2 Prohibition of Unauthorized Use: Clients may not duplicate, reproduce, utilize for commercial purposes, publicly disseminate, or transfer the aforementioned proprietary materials to any third parties without the prior express written consent of PsyCode Studio.

7. Limitation of Liability To the maximum extent permitted by the applicable laws of Hong Kong, PsyCode Studio, its founders, analysts, and affiliates shall not be held liable for any direct, indirect, incidental, special, or consequential damages (including, but not limited to, loss of profits, career setbacks, financial losses, or emotional distress) arising out of or in connection with the use of, or inability to use, the ERA services. Nothing in these Terms shall limit or exclude our liability for death or personal injury resulting from our negligence. Under no circumstances shall PsyCode Studio’s total aggregate liability to a client exceed the actual total fees paid by said client for the specific ERA service giving rise to the claim.

8. Indemnity You agree to indemnify, defend, and hold harmless PsyCode Studio, its founders, analysts, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising from your breach of these Terms, your unauthorized use of our intellectual property, or any actions taken by you or third parties based upon the ERA blueprint.

9. Force Majeure PsyCode Studio shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from any cause that is beyond its reasonable control, including but not limited to acts of God, severe weather, civil unrest, strikes, or telecommunications/internet failures.

10. Third Party Rights The Contracts (Rights of Third Parties) Ordinance (Cap. 623) of the laws of Hong Kong shall not apply to these Terms. No person who is not a party to this agreement shall have any right to enforce any of its terms.

11. Entire Agreement & Severability

11.1 Entire Agreement: These Terms constitute the entire and exclusive understanding between you and PsyCode Studio regarding the ERA service, superseding any prior oral or written agreements, marketing materials, or preliminary discussions.

11.2 Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the validity and enforceability of the remaining provisions shall remain in full force and effect.

12. Governing Law & Jurisdiction The interpretation, validity, and performance of these Terms of Service shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China. Any dispute, controversy, or claim arising from or relating to these Terms or the ERA services shall be submitted to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region.
